These Terms & Conditions ("Terms") govern your access to and use of the Vergrank service, website, and related applications (the "Service") provided by Vergrank ("Vergrank", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Vergrank is a content engine that researches keywords and generates, publishes, and refreshes SEO/GEO web pages on your behalf, along with related reporting and tooling. We may update, add, or remove features over time.

2. Accounts and eligibility

You must be at least 18 and able to enter into a contract. You are responsible for keeping your login credentials secure and for all activity under your account. Provide accurate information and keep it up to date.

3. Subscriptions, billing, and cancellation

• Paid plans are billed in advance on a recurring (monthly) basis through our payment processor, Stripe. By subscribing, you authorise us to charge the applicable fees to your payment method.
• Subscriptions renew automatically until cancelled. You can cancel at any time from the billing portal; cancellation takes effect at the end of the current billing period.
• Upgrades take effect immediately; downgrades take effect at the next billing cycle. Fees are non-refundable except where required by law.
• We may change our prices on reasonable notice.

4. Your content and responsibilities

You retain ownership of the domains, materials, and information you provide ("Customer Content"), and of the pages we publish for you. You grant us a licence to use Customer Content as needed to operate and provide the Service. You are responsible for ensuring that:

• you have the right to use the domain and materials you submit;
• your use of the Service and any published content complies with applicable laws and third-party rights; and
• you review content before or after publication and remain responsible for what appears on your sites.

5. AI-generated content

The Service uses automated and AI systems to produce content. While we apply quality checks, AI-generated output may contain inaccuracies and is provided for your review and use at your discretion. We do not guarantee any specific search ranking, traffic, citation, or business outcome. You are responsible for verifying content before relying on it.

6. Acceptable use

You agree not to:

• use the Service for unlawful, deceptive, or harmful purposes;
• publish content that is illegal, infringing, or violates third-party rights;
• attempt to disrupt, reverse engineer, or gain unauthorised access to the Service;
• resell or misuse the Service in breach of these Terms.

We may suspend or terminate accounts that breach these Terms.

7. Third-party services

The Service integrates with third parties such as Google Search Console, Cloudflare, Stripe, and AI model providers. Your use of those services is subject to their own terms, and we are not responsible for them.

8. Intellectual property

The Service, including its software, design, and branding, is owned by Vergrank and protected by intellectual property laws. These Terms do not grant you any rights in the Service other than the limited right to use it as described here.

9. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties, whether express or implied, including fitness for a particular purpose and that the Service will be uninterrupted or error-free.

10. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law. Subject to that, we are not liable for indirect or consequential losses, loss of profits, revenue, data, or goodwill. Our total liability arising out of or in connection with the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim.

11. Indemnity

You agree to indemnify us against claims, losses, and costs arising from your Customer Content or your breach of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or where necessary to protect the Service. On termination, your right to use the Service ends; sections intended to survive (such as payment, IP, disclaimers, and liability) continue to apply.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, subject to any mandatory rights you have as a consumer.
